This document outlines the contractual framework, intellectual property guidelines, and operational scope for all media services provided by ADaura. Please review carefully.

Comprehensive Framework

Engagement Scope & Deliverables

1. Intellectual Property Ownership: All creative assets, including raw footage, project files, and final deliverables, remain the intellectual property of ADaura until full payment is received. Upon full payment, ownership of the final deliverable (as specified in the service agreement) transfers to the client for agreed-upon usage. 2. Usage Rights: Clients are granted non-exclusive, perpetual, worldwide rights to use the final deliverables for their intended purpose. Any extended usage or redistribution beyond the initial agreement requires prior written consent from ADaura and may incur additional fees. 3. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, project details, and trade secrets exchanged during the engagement. This obligation extends beyond the termination of the service agreement.

4. Turnaround & Revisions: Project timelines and revision rounds are detailed in individual service agreements. Standard projects include two rounds of revisions. Additional revisions may be subject to extra charges and may impact the project delivery schedule. 5. Payment Terms: Payment schedules are outlined in the service agreement. Late payments may incur interest charges as per industry standards. ADaura reserves the right to pause work on outstanding projects until payments are current. 6. Limitation of Liability: ADaura's liability for any claim arising from services rendered is limited to the total fees paid by the client for the specific service. ADaura is not liable for indirect, incidental, or consequential damages.
